Terms of Use
By using Mersatna you accept these terms. They form a contract between you and the operator of the platform. If you do not accept them, do not use the service. Please read sections 15 and 17 carefully: the first limits liability and the second sets the governing law.
The Arabic version is the authoritative text; this English translation is provided for convenience.
1. Definitions
- The platform: the Mersatna software, website and apps.
- User: anyone who has created an account.
- Merchant: a user who owns a store on the platform.
- Customer: a user who browses stores or orders from them.
- Team: people a merchant adds to work in his store with a permission.
- Ledger: the accounting data a merchant enters.
2. Eligibility and your account
- The service is for people aged 18 or over with capacity to contract.
- You sign in with your phone number and a password. Your number is verified once by a code sent to it when you create your account; you then choose your password and sign in with it, with no code. A code is sent again only if you forget it and want to set a new one.
- Your account is personal: you are responsible for everything done through it and for protecting your phone, its number, your password and the code sent to you — tell them to no one. We do not know your password and cannot read it (see the Privacy Policy).
- Your details must be accurate; impersonating a person or an organisation is not permitted.
- If you lose your phone or believe your account was used without permission, tell us.
3. What the platform does and does not do
The platform is a technical intermediary: it displays merchants’ stores, connects a customer with a merchant, and gives the merchant software to run his business.
Accordingly, any dispute about a product, price, delivery, warranty or return is between the customer and the merchant. We may — without being obliged to — help bring the parties together, and we may take whatever action we consider appropriate against offending accounts.
4. Merchant obligations
- Honest listings: product photos, descriptions, prices and availability as they are in reality.
- Final price: shown clearly in ouguiya, with anything added (delivery, fees) stated before the deal.
- Delivery and after-sales: the merchant’s responsibility alone, on the terms he promised his customer.
- Taxes, duties and licences: the merchant’s responsibility; he knows his activity and the law that governs it.
- Compliance with Mauritanian law in everything he lists and sells.
- Replying to his customers within a reasonable time, and not using chat for harassment or unsolicited advertising.
5. A merchant’s customer data
When a merchant enters his customers’ details into his ledger (name, number, debt, invoice) he is the party who decides that data and is responsible for it; we store and process it on his behalf to run the program for him. The merchant must:
- have a lawful basis for entering it, and inform his customers where required;
- not enter sensitive data his business does not need;
- respond to a customer’s request to know, correct or delete what he holds — the program enables him to do so.
Details are in the Privacy Policy.
6. Team and permissions
- Whoever a merchant adds to his team reads and writes only to the extent of the permission granted; the merchant grants and revokes it.
- The team’s actions are the merchant’s actions as regards the platform and customers.
- A team member must not use store or customer data for anything other than his work in that store.
7. The accounting program is a tool, not an adviser
- The numbers are the responsibility of whoever enters them. The program computes from your input: wrong input, wrong output.
- It is not tax, financial or legal advice and does not replace an accountant or adviser. We do not warrant that its reports satisfy any particular legal requirement.
- Review your figures before acting on them — above all before a tax filing, a stock count or settling an account.
8. Content and intellectual property
- Your content is yours. By publishing it on the platform you grant us a non-exclusive, royalty-free licence to display, store, copy and process it to the extent needed to run the service (including showing your store to customers, generating thumbnails, and keeping backups). The licence ends when you delete the content or close the store, except for what remains in a backup until that backup expires.
- You warrant that you have the right to publish what you publish: no stolen images, no one else’s trademarks, no protected content.
- The platform, its software, design, name and logo are ours. They may not be copied, reverse-engineered, resold, or stripped of their notices.
- Anyone who finds content infringing their rights may tell us and we will act.
9. Prohibited items and conduct
The following are prohibited on the platform:
- Anything contrary to Mauritanian law, and anything whose sale or possession is unlawful.
- Narcotics and alcohol; weapons and ammunition; prescription medicines; human organs; protected animals.
- Counterfeit or adulterated goods, stolen goods, and anything that infringes another’s rights.
- Pornographic, abusive, racist content, or content inciting violence or hatred.
- Fraud, pyramid schemes and gambling; and claiming a status or affiliation you do not have.
- Technical abuse of the program: attempting to bypass permissions, overloading the service, accessing another’s data, automated scraping, or modifying the app to tamper with the server.
- Using a store’s customer data for anything other than that store’s business, or sending unsolicited messages.
10. Backups and availability
- We keep your data carefully and hold backups — but we do not guarantee that nothing can ever be lost.
- So keep your own copy, and the program gives you two: an encrypted one, with a passphrase you choose — this restores only into the same store and cannot be imported into another one; and a readable export (Excel, CSV and a summary sheet) that you can read without our program and hand to your accountant. If you are closing your store or deleting your account, take the readable export — it is the one that stays useful after erasure. Using both regularly is your duty, not ours.
- The service is provided “as is”: it may be interrupted for maintenance, by a defect, or by an outage at an external provider. We work for continuity; we do not guarantee it without interruption.
11. Paid services
Some platform features are paid. They are purchased and managed from the web console only, by local means and outside the mobile apps. Their terms and details are presented in the console itself at the time of request and form part of these terms. Unless you buy something, you have no financial obligation.
12. Suspension and termination
- We may suspend or block an account or a store that breaches these terms or the law, harms users or the service, or is under serious suspicion.
- We tell the holder the reason as far as possible, and he may ask us to review it.
- For a serious breach (conduct criminalised by law, or deliberate harm to the platform) suspension is immediate.
- You may end your relationship with us at any time — see the next section.
13. Closing a store and deleting an account
- Three independent doors: deleting a branch, closing a store, and deleting an account. Closing a store does not touch your account or your other stores; deleting the account closes every store you own.
- And a fourth door: transferring the store’s ownership to the holder of an existing account on the platform instead of closing it. A transfer happens only by an offer from you and acceptance by them within a limited period, with identity confirmation from both sides. On acceptance, the store passes to them with its ledger, its data and all its obligations, and your access ends immediately: no visibility, no authority and no taking it back. Whatever is owed between you in its accounts is settled between the two of you; the platform bears no part of it.
- Closure is immediate; erasure follows a grace period (30 days by default) during which you can restore everything with one tap. After the grace period there is no going back.
- A location in use is archived, not deleted: deleting a branch that has invoices and balances would overturn your accounting history, so it is deactivated and its figures are kept. A location that was never used is deleted completely.
- What remains after erasure: payment records stripped of store identity, the administrative audit log, a cryptographic fingerprint of the phone number that prevents recycling of the free trial, and what the books of a store you worked in attribute to their author (if you were a staff member in someone else's store). All of it is detailed in the Privacy Policy.
- Take your backup before closing: after erasure we cannot restore it for you.
- If the app is not on your device, request deletion from the account deletion page — you do not need to reinstall it.
14. Disclaimer of warranties
The service is provided “as is” and “as available”, without warranty of any kind, express or implied, including fitness for a particular purpose, freedom from defects or interruption, or the accuracy of what users enter. We do not warrant any merchant’s goods, solvency or quality, nor the accuracy of what he writes in his store.
15. Limitation of liability
- We are not liable for indirect or consequential damages: lost profit, lost opportunity, reputation, business interruption, or data loss unless caused by our gross fault.
- We are not liable for what happens between a customer and a merchant, for another user’s conduct, or for content entered by others.
- Nor for an outage at an external provider (hosting, telecoms, notifications) or for force majeure.
- In any event, our total liability — if established — shall not exceed the amounts you actually paid us during the twelve months preceding the event. If you paid nothing, the service is free to you, and you retain whatever rights cannot lawfully be excluded.
- Nothing in this section excludes liability that Mauritanian law does not permit to be excluded (including fraud and gross fault).
16. Indemnity
You agree to indemnify us against any claim, fine or cost (including reasonable legal fees) we incur because of your breach of these terms or of the law, content you published, data you entered without the right to, or a dispute between you and a customer or merchant.
17. Governing law and disputes
- These terms are governed by the laws of the Islamic Republic of Mauritania.
- Any dispute shall first be pursued amicably by correspondence for thirty days.
- If unresolved, the courts of Nouakchott shall have jurisdiction.
18. Changes to these terms
We may update these terms. We record the last updated date and version number at the top of the page and notify you in the program of a material change before it takes effect. Continuing to use the service after it takes effect is acceptance. If you do not accept, you may close your store and delete your account (section 13).
If any provision is held invalid, the remainder stays in force.
19. Contact
Write to us from the contact page on the website or from “Support” in the program.
